CONSULTING SERVICES AGREEMENT

1. PARTIES

This Consulting Services Agreement (the 'Agreement') is made and entered into as of the Effective Date by and between:

2. SERVICES

2.1 Scope of Services: Consultant agrees to provide to Client the following consulting services (the 'Services'):

3. TERM AND TERMINATION

3.1 Term: This Agreement shall commence on the Effective Date and shall continue for a period of [DURATION] (the 'Initial Term'), unless terminated earlier as provided herein.

3.2 Renewal: Upon expiration of the Initial Term, this Agreement may be renewed for successive [RENEWAL DURATION] periods upon mutual written agreement of the Parties.

3.4 Termination for Cause: Either Party may terminate this Agreement immediately upon written notice if:

The other Party becomes insolvent, files for bankruptcy, or makes an assignment for the benefit of creditors;

4. COMPENSATION AND PAYMENT

4.2 Expenses: Client shall reimburse Consultant for all reasonable and necessary expenses incurred in performing the Services, provided that:

Consultant provides proper documentation (receipts, invoices, etc.) for all reimbursable expenses;

Expenses comply with Client's expense reimbursement policy, which Consultant acknowledges receiving.

4.3 Invoicing: Consultant shall submit invoices to Client [FREQUENCY] detailing the Services performed, time spent, and expenses incurred during the billing period.

4.4 Payment Terms: Client shall pay all undisputed amounts within [PAYMENT PERIOD] days of receiving a proper invoice. Any disputed amounts shall be communicated to Consultant within [DISPUTE PERIOD] days of receiving the invoice.

5. INDEPENDENT CONTRACTOR RELATIONSHIP

5.1 Status: The Parties acknowledge and agree that Consultant is an independent contractor and not an employee, agent, partner, or joint venturer of Client.

5.2 No Benefits: Consultant is not entitled to any employee benefits from Client, including but not limited to health insurance, paid vacation, retirement benefits, or workers' compensation insurance.

5.3 Taxes and Insurance: Consultant is responsible for all tax filings, payments, and insurance obligations related to the compensation received under this Agreement, including income taxes, self-employment taxes, and professional liability insurance.

6. CONFIDENTIALITY

6.1 Definition: 'Confidential Information' means any non-public information disclosed by one Party (the 'Disclosing Party') to the other Party (the 'Receiving Party'), whether oral, written, electronic, or in any other form, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

6.2 Obligations: The Receiving Party agrees to:

Maintain the confidentiality of the Disclosing Party's Confidential Information with at least the same degree of care it uses to protect its own confidential information;

Not disclose such Confidential Information to any third party without the prior written consent of the Disclosing Party;

Use such Confidential Information only for the purpose of performing its obligations under this Agreement;

Limit access to such Confidential Information to those employees, agents, or representatives who have a need to know and who are bound by confidentiality obligations at least as restrictive as those contained herein.

6.3 Exclusions: The obligations set forth in Section 6.2 shall not apply to any information that:

Is or becomes publicly known through no fault of the Receiving Party;

Is rightfully known by the Receiving Party prior to receipt from the Disclosing Party;

Is rightfully obtained by the Receiving Party from a third party without restriction on use or disclosure;

Is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.

7. INTELLECTUAL PROPERTY

7.1 Pre-Existing IP: Each Party shall retain all rights, title, and interest in and to its pre-existing intellectual property.

7.2 Work Product: All work product, including but not limited to reports, analyses, designs, documents, and materials created by Consultant specifically for Client as part of the Services (the 'Work Product') shall be owned by Client upon full payment for the Services.

7.3 License to Consultant Materials: Consultant grants to Client a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and distribute any Consultant materials that are incorporated into the Work Product.

8. REPRESENTATIONS AND WARRANTIES

8.1 Mutual Representations: Each Party represents and warrants that:

It has the full right, power, and authority to enter into and perform this Agreement;

Its performance under this Agreement will not conflict with any other agreement or obligation;

It will comply with all applicable laws and regulations in performing its obligations under this Agreement.

8.2 Consultant Warranties: Consultant represents and warrants that:

It possesses the requisite skills, qualifications, and experience to perform the Services;

The Services will be performed in a professional and workmanlike manner in accordance with industry standards;

The Work Product will not infringe upon or violate any intellectual property rights of any third party.

9. LIMITATION OF LIABILITY

9.1 DISCLAIMER OF WARRANTIES: EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, EACH PARTY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 EXCLUSION OF DAMAGES: IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST REVENUES, LOSS OF GOODWILL, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 CAP ON LIABILITY: EACH PARTY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID OR PAYABLE BY CLIENT TO CONSULTANT UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10. INDEMNIFICATION

10.1 Consultant Indemnification: Consultant shall indemnify, defend, and hold harmless Client and its officers, directors, employees, agents, successors, and assigns from and against any and all losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to any claim, action, or proceeding based upon:

Consultant's breach of this Agreement;

Consultant's negligence, willful misconduct, or violation of law;

Any allegation that the Work Product infringes or misappropriates any intellectual property right of a third party.

10.2 Client Indemnification: Client shall indemnify, defend, and hold harmless Consultant and its officers, directors, employees, agents, successors, and assigns from and against any and all losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to any claim, action, or proceeding based upon:

Client's breach of this Agreement;

Client's negligence, willful misconduct, or violation of law;

Consultant's use of Client-provided materials, information, or instructions, except to the extent such claim arises from Consultant's negligence or willful misconduct.

11. GENERAL PROVISIONS

11.1 Entire Agreement: This Agreement constitutes the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior agreements, understandings, or negotiations.

11.2 Amendments: This Agreement may only be modified by a written amendment signed by authorized representatives of both Parties.

11.3 Assignment: Neither Party may assign this Agreement without the prior written consent of the other Party, except that either Party may assign this Agreement to a successor in interest in connection with a merger, acquisition, or sale of all or substantially all of its assets.

11.4 Force Majeure: Neither Party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, terrorism, riots, or wars.

11.5 Notices: All notices must be in writing and delivered by hand, certified mail, or email with confirmation of receipt to the addresses specified below:

11.6 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.7 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [JURISDICTION], without regard to its conflict of laws principles.

11.8 Dispute Resolution: Any dispute arising out of or relating to this Agreement shall be resolved through:
